Affiliate Program Terms of Service

Section 1

Definitions

  • Affiliate Link — a unique tracking URL

  • Cookie Window — a 180-day attribution period

  • Customer — a person signing up via an affiliate link

  • Net Revenue — amounts received by StarlixAI from subscriptions, excluding taxes and refunds

  • StarlixAI Marks — trademarks and brand assets

  • Referred Customer — a customer attributed to an affiliate link

Section 2

Eligibility

Participants must be at least 18 with legal capacity to contract, maintain valid Tolt accounts with accurate information, operate lawful promotional channels free of obscene or infringing content, and cannot be StarlixAI employees or contractors. Applicants must not be located in embargoed countries or on sanctions lists. The company reserves approval rights.

Section 3

Acceptance and Modifications

By applying or participating, affiliates accept these terms. We may modify these Terms at any time by posting the updated version, and continued participation constitutes acceptance of revisions.

Section 4

Commission

Affiliates earn 20% of the Net Revenue from referred customers for twelve (12) months from subscription signup. Tolt's dashboard serves as the authoritative record. Promotional offers with different rates may apply separately.

Section 6

Payment Terms

Commissions require a $100.00 USD minimum threshold. Payouts process 30 days after the end of each month via PayPal, wire transfer, or local bank transfer. Identity verification and tax forms may be required. Refunds reverse commissions. All amounts calculate in U.S. dollars, with affiliates responsible for taxes and fees. Inactive accounts exceeding 12 months may forfeit unclaimed amounts.

Section 7

Prohibited Practices

  • 7.1 Brand Bidding on Paid Search — affiliates cannot bid on StarlixAI brand keywords or variants in Google Ads or similar platforms, or use StarlixAI Marks in ad copy suggesting official status.

  • 7.2 Mandatory Disclosure of Paid-Ads Accounts — before running paid advertisements, affiliates must disclose to us in writing platform names, account IDs, and destination URLs. Failure to disclose constitutes material breach warranting commission forfeiture and termination.

  • 7.3 Self-Referrals and Incentivized Signups — affiliates cannot sign up for a StarlixAI subscription via their own Affiliate Link or provide incentives for clicks or signups without written approval.

  • 7.4 Fake and Low-Quality Traffic Sources — prohibited sources include fake account farms, click farms, signup farms, automated bot traffic, incentivized-traffic networks, and tracking manipulation techniques like cookie-stuffing.

  • 7.5 Other Prohibited Conduct — affiliates cannot impersonate StarlixAI, send unsolicited commercial emails, use StarlixAI Marks in domain names or social handles, make false statements about the company, promote on inappropriate sites, collect personal data illegally, or reverse-engineer tracking systems.

Section 8

Required Disclosures and Marketing Standards

Promotional materials must clearly and conspicuously disclose affiliate relationships complying with the U.S. Federal Trade Commission's Endorsement Guides. Affiliates ensure accuracy regarding pricing and features, removing content upon company request.

Section 9

Use of StarlixAI Marks

StarlixAI grants a limited, non-exclusive, non-transferable, revocable license to use brand assets only as authorized for promotional purposes. Modifications and disparaging use are prohibited. The license terminates upon agreement termination.

Section 10

Independent Contractor

The relationship creates no partnership, agency, or employment. Affiliates are independent contractors with no authority to bind StarlixAI.

Section 11

Confidentiality

Non-public information shared through the program remains confidential, with a two (2) year survival period post-termination.

Section 12

Term and Termination

The agreement continues until terminated by either party with written notice. StarlixAI may immediately suspend participation and forfeit any pending and unpaid commissions for Section 7 breaches, fraud, reputational harm, or material breaches uncured within seven days. Earned commissions process in the next payout cycle upon termination; affiliates must remove links within ten (10) business days.

Section 13

Disclaimers

The program is provided as is without guarantees of referrals or earnings. Forecasts are illustrative only. Warranties are disclaimed to the maximum extent permitted by law.

Section 14

Limitation of Liability

Neither party bears liability for indirect or consequential damages. Company liability caps at total commissions paid in the preceding 12 months. Fraud and willful misconduct exceptions apply per applicable law.

Section 15

Indemnification

Affiliates defend StarlixAI against claims arising from term breaches, promotional materials, misuse of marks, law violations, or third-party rights infringement claims.

Section 16

Governing Law and Dispute Resolution

These terms follow California law without conflict-of-law application. Exclusive jurisdiction lies with state and federal courts located in San Francisco County, California, except for intellectual property injunctions.

Section 17

Miscellaneous

These terms constitute the entire agreement together with Tolt's terms and written amendments. Unenforceable provisions modify minimally. Unenforced rights don't constitute waivers. Assignment requires written consent except for company transfers. Neither party bears liability for force majeure circumstances. Notices direct to contact@starlix.net. Privacy policies govern data processing per StarlixAI and Tolt standards.
